These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and MicroTech Labs LLC ("MicroTech Labs", "we", "us", or "our"), a Wyoming limited liability company. By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
MicroTech Labs LLC provides the following services to business customers:
We are an independent Microsoft 365 reseller and consulting firm. We are not affiliated with, endorsed by, or owned by Microsoft Corporation. All Microsoft 365 subscriptions we provide are genuine Microsoft cloud subscriptions sourced through authorized Microsoft CSP distribution channels.
Our services are available to business entities only. We do not provide services to individual consumers for personal use. By using our services, you represent that you are acting on behalf of a legitimate business entity and that you have authority to bind that entity to these Terms.
Our services are available to customers in the United States and Canada. We reserve the right to decline service to customers in other jurisdictions.
When we provision Microsoft 365 or other services, we may require access to your Microsoft tenant as a delegated administrator. You retain full ownership and control of your tenant at all times. You may revoke our access at any time through your Microsoft 365 admin center.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.
Payment terms are as specified in your service agreement or invoice. Unless otherwise agreed in writing:
We offer a 30-day money-back guarantee on our consulting and setup services. If you are not satisfied with our services within 30 days of engagement, contact us at contact@microtechlabs.io for a full refund of service fees paid.
Microsoft 365 license fees are subject to Microsoft's own refund and cancellation policies. MicroTech Labs LLC does not control Microsoft's billing terms for subscriptions provisioned to your tenant.
Software licenses (BRB CRM source code) are non-refundable once delivered. Managed software subscriptions may be cancelled with 30 days written notice.
Microsoft 365 subscriptions provisioned through MicroTech Labs LLC are subject to Microsoft's own terms of service and end-user license agreements. By accepting Microsoft 365 subscriptions, you agree to be bound by Microsoft's terms.
MicroTech Labs LLC acts as an independent reseller. Microsoft Corporation is not a party to your agreement with us and has no liability to you under these Terms. Any issues with Microsoft's products or services should be directed to Microsoft support in addition to us.
We do not sell Microsoft 365 Personal, Microsoft 365 Family, Office Home & Student, or any perpetual Microsoft Office license keys. All Microsoft products we provide are genuine cloud subscriptions only.
All content on microtechlabs.io, including text, graphics, logos, and software, is the property of MicroTech Labs LLC or its licensors and is protected by applicable intellectual property laws.
Microsoft, Microsoft 365, Azure, Outlook, Teams, SharePoint, OneDrive, and Entra are trademarks of Microsoft Corporation. Their use on our website is for descriptive purposes only under nominative fair use and does not imply affiliation with or endorsement by Microsoft Corporation.
BRB CRM and SignRight are products of MicroTech Labs LLC. Source code licenses grant you a limited, non-exclusive right to use the code as specified in your purchase agreement.
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or free from viruses or other harmful components.
We are not responsible for the availability, performance, or terms of Microsoft's services. Microsoft may change their pricing, features, or terms at any time without notice to us.
To the fullest extent permitted by applicable law, MicroTech Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to your use of our services.
Our total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to MicroTech Labs LLC in the three months preceding the claim.
You agree to indemnify and hold harmless MicroTech Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate a service engagement with 30 days written notice unless otherwise specified in a service agreement. We reserve the right to terminate services immediately for non-payment or material breach of these Terms.
Upon termination, you retain full ownership of your Microsoft tenant and all data within it. We will provide reasonable assistance to transfer your tenant to another provider or directly to Microsoft.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
